SECTION 5. The CUA and the Agency hereby acknowledge and agree that the CUA Loan <br />shall be considered an indebtedness of the Agency for purposes of the filing of the Agency statement <br />of indebtedness with the County of San Bernardino, pursuant to Health and Safety Code Section <br />33675. <br />SECTION 6. The CUA shall have no right or power to transfer or assign its right to receive <br />the payment of principal or accrued interest under this agreement or the Agency Promissory Note, <br />unless the Agency has first granted written approval to the CUA for such an assignment, in the <br />Agency's sole and absolute discretion. <br />THIS 2005 REDEVELOPMENT COOPERATION LOAN AGREEMENT is dated as of the <br />date first set forth above. <br />(SEAL) <br />ATT ST: <br />Carolina P.
