WW05-1 <br />1. PARTIES AND DATE. <br />This Agreement is made and entered into this AP day of September, 2005 by and <br />between the City of Colton, a municipal corporation of the State of California, located at 650 <br />North La Cadena Drive, Colton, California 92324, County of San Bernardino, State of California, <br />(hereinafter referred to as "City") and Solid Solutions, L.L.C., a contractor with its principal place <br />of business at 12340 Seal Beach Blvd., Suite B-383, Seal Beach, CA 90740 (hereinafter <br />referred to as "Contractor"). City and Contractor are sometimes individually referred to as <br />"Party" and collectively as "Parties" in this Agreement. <br />2. RECITALS. <br />2.1 Contractor. <br />Contractor desires to perform and assume responsibility for the provision of certain <br />maintenance services required by the City on the terms and conditions set forth in this <br />Agreement. Contractor represents that it is experienced in providing bio -solids hauling services <br />to public clients, that it and its employees or subcontractors have all necessary licenses and <br />permits to perform the Services in the State of California, and that is familiar with the plans of <br />City. <br />2.2 Project. <br />City desires to engage Contractor to render such services for the Wastewater <br />Treatment Plant ("Project") as set forth in this Agreement. Bid: <br />Bid: <br />Quality/class determination, hauling and disposal of approximately 3,000 tons of <br />Class A Anaerobically digested bio -solids from the City of Colton's Wastewater <br />Treatment Plant. Bio -solids consists of settleable and floating solids, chemicals <br />and other waste by-products. The contractor is responsible for removal from bio - <br />solids beds, loading of bio -solids and transportation of the bio -solids from the <br />Wastewater Treatment Plant to the contractor's permitted disposal site(s) and/or <br />permitted storage facility(ies) and for the ultimate disposal of such bio -solids. <br />The contractor must comply with any and all applicable laws, statutes, <br />regulations, ordinances, directives, licenses and permits during the performance <br />of the contract. <br />Page 2 of 16 <br />
