COOPER INDUSTRIES, INC. <br />CERTIFICATE <br />- Surety Bonds - <br />Diane K. Schumacher, Secretary of Cooper Industries, Inc., an Ohio <br />corporation ("Cooper"), certifies that: <br />(1) The persons whose names are shown on the annexed Exhibit A are <br />duly elected and qualified officers of Cooper, each holds the <br />office and acts in the capacity or capacities designated, and <br />the signatures appearing on Exhibit A are the true and genuine <br />signatures of the officers indicated. Each such officer is <br />authorized from time to time to act and to sign various papers, <br />including without limitation, surety bonds of all types, on <br />behalf of and to bind Cooper. <br />(2) In accordance with the charter documents of Cooper, established <br />procedures of its Board of Directors (with which I am familiar) <br />and the corporation laws of Ohio, senior officers of Cooper may <br />designate employees, who need not be officers of Cooper, and <br />delegate to them specified, limited authority to sign on behalf <br />of and to bind Cooper and any corporate entity, the capital <br />stock of which is owned by Cooper (directly, or indirectly <br />through other subsidiaries). Pursuant thereto, the authority <br />to approve and sign on behalf of Cooper any type of surety bond <br />having, a principal obligation not in excess of $200,000has <br />been delegated by Alan E.
