Client will pay Attorney for attorney's fees for the hourly rate of Attorney's legal assistant, in the sum of $45.00 per hour. Attorney will charge in increments of one tenth of an hour, rounded off for each particular activity to the nearest one tenth of an hour. Attorney will charge for all activities undertaken in providing legal services to Client under this agreement, including, but not limited to the following: Conferences (preparation and participation); correspondent and legal documents (review and preparation); legal research, telephone conversations; travel time; waiting time; and, if Attorney and her legal assistant attend a meeting or other proceeding, each will charge for the time spent. 7. COSTS. Client will pay all "costs" in connection with Attorney's representation of Client under this agreement. Costs will be advanced by Attorney and then billed to Client. Costs include, but are not limited to, messenger service fees, photocopying expenses, facsimile costs, long distance telephone calls, and fees to courts for copies of relevant court cases. 8. STATEMENTS AND PAYMENTS. Attorney will send Client monthly statements indicating attorney's fees and costs incurred and their basis, and any current balance owed. Any balance will be paid in full within 20 days after the statement is mailed. 9. ENTIRE AGREEMENT. This agreement contains the entire agreement of the parties. No other agreement, statement, or promise made on or before the effective date of this agreement will be binding on the parties. 10. MODIFICATION BY SUBSEQUENT AGREEMENT. This agreement may be modified by subsequent agreement of the parties only by an instrument in writing signed by both of them. 11. DISCHARGE AND WITHDRAWAL. Client may discharge Attorney at any time upon 30 days written notice. Attorney may withdraw at any time upon 30 days notice 12. EFFECTIVE DATE OF AGREEMENT. The effective date of this agreement will be the date that the City Council approved Attorney York's proposal, Tuesday, July 17, 1990.
