Client will pay Attorney for attorney's fees for the hourly <br />rate of Attorney's legal assistant, in the sum of $45.00 per <br />hour. <br />Attorney will charge in increments of one tenth of an hour, <br />rounded off for each particular activity to the nearest one tenth <br />of an hour. <br />Attorney will charge for all activities undertaken in <br />providing legal services to Client under this agreement, <br />including, but not limited to the following: Conferences <br />(preparation and participation); correspondent and legal <br />documents (review and preparation); legal research, telephone <br />conversations; travel time; waiting time; and, if Attorney and <br />her legal assistant attend a meeting or other proceeding, each <br />will charge for the time spent. <br />7. COSTS. Client will pay all "costs" in connection with <br />Attorney's representation of Client under this agreement. Costs <br />will be advanced by Attorney and then billed to Client. Costs <br />include, but are not limited to, messenger service fees, <br />photocopying expenses, facsimile costs, long distance telephone <br />calls, and fees to courts for copies of relevant court cases. <br />8. STATEMENTS AND PAYMENTS. Attorney will send Client <br />monthly statements indicating attorney's fees and costs incurred <br />and their basis, and any current balance owed. Any balance will <br />be paid in full within 20 days after the statement is mailed. <br />9. ENTIRE AGREEMENT. This agreement contains the entire <br />agreement of the parties. No other agreement, statement, or <br />promise made on or before the effective date of this agreement <br />will be binding on the parties. <br />10. MODIFICATION BY SUBSEQUENT AGREEMENT. This agreement <br />may be modified by subsequent agreement of the parties only by an <br />instrument in writing signed by both of them. <br />11. DISCHARGE AND WITHDRAWAL. Client may discharge <br />Attorney at any time upon 30 days written notice. Attorney may <br />withdraw at any time upon 30 days notice <br />12. EFFECTIVE DATE OF AGREEMENT.
