PARTIES: The Parties to this Agreement are the CITY OF <br />COLTON ("City"), a municipal corporation of the State of <br />California and the SOUTHERN CALIFORNIA EDISON COMPANY <br />("Edison"), a California corporation, hereinafter sometimes <br />referred to individually as "Party" and collectively as <br />"Parties". <br />2. RECITALS: This Agreement is made with reference to the <br />following facts, among others: <br />2.1 Edison is a utility engaged in the business of <br />generating and transmitting electric energy in the States of <br />Arizona, California, Nevada, and New Mexico. Edison is <br />further engaged in the business of distributing such energy in <br />California. <br />2.2 City is engaged in generating, transmitting, and <br />distributing electric energy, which activities may also <br />include purchases from Edison of electric capacity or energy, <br />or both, for resale under rates filed by Edison with the <br />Commission. City also owns or purchases capacity Resources <br />and energy from Third Parties. <br />2.3 In 1972, City and Edison executed the 1972 <br />Settlement Agreement which provided, among other things, for <br />the termination of certain judicial and regulatory <br />proceedings, the combined dispatch of power Resources, the <br />Document No. TJD/412 <br />SCE 25-193 NEW 387 <br />-1- <br />
