PARTIES: The Parties to this Agreement are the Cities of <br />Anaheim, Azusa, Banning, Colton, Glendale, Pasadena, Riverside, and <br />Vernon, which are organized and operating pursuant to the laws of the <br />State of California, and Imperial Irrigation District which is an <br />irrigation district organized and operating under the Water Code of <br />the State of California. <br />2. RECITALS: <br />2.1 Century owns an undivided fifty percent interest in San Juan <br />which it has offered to the Parties and others. <br />2.2 The Parties are considering purchasing Century's interest in <br />San Juan, either as a stock purchase or an asset purchase. Prior to <br />committing to said purchase, they desire various engineering and legal <br />evaluations and analyses so that they may determine if they want to <br />consummate the purchase. <br />2.3 Costs will be incurred for such evaluations and analyses <br />and the Parties desire that such costs be shared among the Parties in <br />proportion to their Project Entitlements. <br />2.4 The Parties desire to provide that any Party which meets its <br />obligations hereunder shall be entitled to participate with the other <br />Parties and purchase a portion of Century's interest in San Juan. <br />2.5 The Parties also desire to provide that any Party may <br />withdraw from continuing participation under this Agreement and that, <br />in such an event, the withdrawing Party shall be obligated only for <br />the portion of the costs incurred by the Parties through the effective <br />date of such Party's withdrawal. <br />-1- <br />
