Either party shall have the right to terminate or renegotiate this Agreement b giving to the other party written notice of such cancellation of the Agreement at least sixtyy (60) days in advance. Ward shall have the right to cancel the Agreement b giving e Client ten (10) days written notice of cancellation for non-payment of the by fee. Upon cancellation, Ward will not be required to provide additional services as outlined in this Agreement under Section I. In the event this Agreement is canceled by the Client for any reason, the Client may choose one of the following options: ti n A: Renegotiate the services with Ward at fee to be negotiated between Ward and the Client. .QQ iOn B: Require Ward to return all open and closed files to the Client. The Client will be responsible for the pick-up and delivery of the files. This Agreement shall be effective for a period of two years from July 1, 1994, to June 30, 1996, and shall remain in force and effect as amended or terminated as provided in the cancellation clause. SECTION VI: FEES: The Client agrees to pay Ward service fees based on the following schedule: I• Administration Claims Handling and Litigation Management Fee FLAT ANNUAL FEE $34800 II.
