8. The parties hereto understand and acknowledge that this <br />is a compromise settlement without admission of wrongdoing, <br />liability, injury, or discrimination on the part of HERRON on the <br />one hand, or the COLTON RELEASEES, or any of them, on the other <br />hand. <br />9. The parties hereto agree that this Agreement and all of <br />its terms shall be binding upon their heirs, estates, personal <br />representatives, executors, administrators, and assigns, <br />affiliates, subsidiaries, or other related entities. <br />10. COLTON and the COLTON RELEASEES agree to report in <br />response to any inquiry by a prospective employer of HERRON that <br />HERRON voluntarily resigned his employment with COLTON in good <br />standing. <br />11. HERRON and COLTON and the COLTON RELEASEES each agree not <br />to intentionally disparage the other in any dealings or <br />communications with third parties. <br />12. Except as otherwise provided herein, each party shall <br />bear its own costs and attorneys' fees in connection with this <br />matter. <br />13. This Agreement constitutes and contains the entire <br />Agreement and understanding concerning the subject matters between <br />the parties hereto, and supersedes and replaces all prior <br />negotiations, all proposed agreements, and all agreements, whether <br />oral or written, express or implied, concerning the subject matters <br />hereof. Each party acknowledges that he or it has not signed this <br />Agreement on reliance on any promise, representation, or warranty <br />6 of 9 <br />
