The City has the right under the contract to terminate <br />with fifteen (15) days notice without cause. The City has no obligation for payment under the <br />contract until such time as the project is deemed feasible and an operator for the facility is <br />selected. Termination under the terms of the contract at the present time does not expose the <br />City to liability for payment of any sum to NORCAL, although if the project should later go <br />forward and NORCAL is not selected as the operator of the facility, NORCAL may have an <br />equitable claim for any costs it has incurred under the contract at that time. <br />RECOMMENDATION: <br />If the City Council wishes to abandon the MRF project by terminating its <br />agreement with NORCAL, it should direct the City Manager to exercise the termination <br />provisions set forth in that agreement. <br />Concurr ce: <br />City Manager <br />
