.FORM 3563 APPROVED AS TO FORM BY GENERAL COUNS8L' F J/jej.JohnLain May 23, 1999 <br />Page 1 of 2 <br />ASSIGNMENT AGREEMENT <br />THIS AGREEMENT, made this �%'a da o f �`'' 1 <br />Y 994, by <br />and between SOUTHERN PACIFIC TRANSPORTATION COMPANY, a corporation, <br />herein termed "Railroad," JOHN LAING HOMES, INC., a corporation, <br />23382 Mill Creek Drive, Suite 105, Laguna Hills, California 92653, <br />herein termed "Assignor" and CITY OF COLTON, a municipal <br />corporation of the <br />State <br />of California, <br />650 N. <br />La Cadena Drive, <br />Colton, California <br />92324 <br />herein termed "Assignee"; <br />RECITALS: <br />The parties hereto desire to set forth by this <br />instrument their agreements with respect to the assign- <br />ment by Assignor to Assignee of an agreement with <br />Railroad dated March 8, 1991, covering a 16 -inch water <br />pipeline at Slover, California (Railroad's Lease Audit <br />No. 212315) . <br />AGREEMENT: <br />1. Assignor hereby assigns, transfers and sets over unto <br />Assignee all of Assignor's rights, title and interest in and to <br />said agreement subject to all the covenants, terms and conditions <br />therein contained and upon the condition and understanding that no <br />rights or obligations which may have accrued prior to or at the <br />date hereof are hereby waived. <br />2. Assignee hereby accepts the above assignment and agrees to <br />perform and abide by all of the terms, covenants and conditions <br />contained in said agreement as hereinafter amended. <br />3. Railroad hereby consents to the foregoing assignment by <br />Assignor to Assignee, subject to the covenants, conditions and <br />terms set forth in said instrument provided that Assignee accepts <br />the said instrument as hereinafter amended. <br />4.
