Recitals. The foregoing recitals are true and correct and this Council hereby so <br />finds and determines. <br />Section 2. Indenture. The Council hereby ratifies its approval at the meeting of June 19, <br />2007 of the proposed form of Indenture, between the City and the Trustee and the execution <br />thereof by of the Mayor, the Mayor Pro Tem, the City Manager, or the City Manager's <br />designee (each, an "Authorized Representative"). <br />Section 3. Bond Purchase Agreement. The Council hereby ratifies its approval at the Council <br />meeting of June 19, 2007 of the proposed form of Bond Purchase Agreement, between the <br />City and the Underwriter and the execution thereof by the Authorized Representative. <br />Section 4. Official Statement. The Council hereby ratifies its approval at the meeting of June <br />19, 2007 of the Official Statement in preliminary form relating to the Bonds (the "Official <br />Statement"), and the certification thereof by the Authorized Representative to the Underwriter <br />on behalf of the City that the Official Statement in preliminary form was "deemed final" as of <br />its date by the City, except for certain final pricing and related information pursuant to Rule <br />15c2-12 of the Securities and Exchange Commission. The Council further ratifies its action at <br />the Council meeting of June 19, 2007 authorizing the Authorized Representative to execute <br />and deliver said Official Statement in final form. <br />Section 5. POB Resolution in Full Force and Effect. Except as otherwise herein specifically <br />supplemented, all terms and provisions of the POB Resolution shall remain in full force and <br />effect, and all authorizations, provisions and terms of the POB Resolution shall apply to this <br />resolution with the same effect as if set forth herein. The officers and agents of the City are, <br />and each of them hereby is, authorized and directed to do any and all things and to execute <br />and deliver any and all documents which they or any of them deem necessary or advisable in <br />order to consummate the transactions contemplated by this resolution, the Indenture, the Bond <br />Purchase Agreement, the Official Statement and the Bonds and otherwise to carry out, give <br />RVPUBTBAUM\735967.1 <br />3 <br />
