APPROVED BY CITY" CO N IL Date D 24 U Item #_j '1_ This Second Amendment to the Professional Services Agreement ("Second Amendment") is made and entered into this 21" day of October, 2008 by and between the City of Colton ("City") and Hall & Foreman, Inc., a Corporation ("Consultant"). City and Consultant are sometimes individually referred to as "Party" and collectively as "Parties" in this First Amendment. 2. RECITALS. 2.1 Agreement. City and Consultant entered into that certain Professional Services Agreement dated June 19, 2007 and its First Amendment on February 5, 2008 (collectively "Agreement"), whereby Consultant agreed to provide Phase I of preparation of the West Valley Specific Plan Amendment. 2.2 Amendment. City and Consultant desire to amend the Agreement for the second time to prepare an alternative land use plan realigning Valley Boulevard and showing the Rialto Unified School District K-8 school site entirely within the City of Colton, prepare a financial pro -forma for the overall development and engineering review the off-site and on-site drainage master plans that are currently being prepared for the City and their impacts on the development. The details of the amendment are more specifically identified in Hall & Foreman, Inc.'s September 25, 2008 letter, attached as Exhibit "A" and excludes item 7 of the letter for preparation of the legal description for the school site within the city of Rialto. 3. TERMS. 3.1 General Scope of Services. Exhibit A of the Agreement described in Section 3. 1.1 is hereby amended to include Exhibit A attached hereto and incorporated herein by reference. Item 7 of Exhibit A is excluded. 3.2 Compensation. Section 3.3.1 of the Agreement shall be modified to reflect an increase in the compensation amount by Thirty Nine Thousand Nine Hundred and Eighty Five Dollars ($39,985). 3.3 Term. Section 3.1.2 of the Agreement shall be modified to extend the term of the Agreement to June 30, 2009.
