APPROVED BY CIT'' 1 -DI"; IL Date 1 Item__ THIRD AMENDMENT TO PROFESSIONAL SERVICES AGREEMENT BETWEEN THE CITY OF COLTON AND GLENN M. REITER & ASSOCIATES 1. PARTIES AND DATE. This Third Amendment to the Professional Services Agreement ("Third Amendment") is made and entered into this 8th day of April, 2009 by and between the City of Colton ("City") and Glenn M. Reiter & Associates, ("Consultant"). City and Consultant are sometimes individually referred to as "Party" and collectively as "Parties" in this Third Amendment. 2. RECITALS. 2.1 Agreement. City and Consultant entered into that certain Professional Services Agreement dated July 7, 2007 ("Agreement"), whereby Consultant agreed to provide Water Rate Study Consulting Services. 2.2 Amendment. City and Consultant desire to amend the Agreement for the Third time to increase the compensation to include additional water rate study tasks in an amount not - to -exceed $7,000. 3. TERMS. 3.1 Compensation. Section 3.3.1 of the Agreement is hereby deleted in its entirety and replaced with the following: "3.3.1. Compensation is hereby modified and should read as follows: As consideration for performance of the work required herein, City agrees to pay Consultant the Total Contract Price not to exceed Fifty -Four Thousand Four Hundred Fifty Dollars and No Cents ($54,450) ("Total Contract Price") provided that such amount shall be subject to adjustment pursuant to the applicable terms of this contract or written change orders approved and signed in advance by the City. 3.2 Continuing Effect Agreement. Except as amended by this Third Amendment, all provisions of the Agreement shall remain unchanged and in full force and effect. From and after the date of this Third Amendment, whenever the term "Agreement" appears in the Agreement, it shall mean the Agreement as amended by this Third Amendment.
