R-86-15 3 A RESOLUTION OF THE CITY COUNCIL OF THE CITY 4 OF COLTON, AUTHORIZING THE CITY MANAGER TO EXECUTE AND DELIVER THE ANTRELOPE DSR 2 5 SOLAR PROJECT POWER SALES AGREEMENT AND 6 APPROVING THE SHARE CAPACITY AND ENERGY TO BE PURCHASED PURSUANT TO THE ANTELOPE 7 DSR 2 SOLAR PROJECT POWER SALES AGREEMENT. 8 9 WHEREAS, Southern California Public Power Authority (the "Authority") has 10 approved a Power Purchase Agreement between the Authority, and Antelope DSR 2, LLC, for 11 the output of the Antelope DSR 2 Solar Project; and WHEREAS, the City Council of the City of Colton has authorized entering into the 12 Antelope DSR 2 Solar Project Power Sales Agreement (the "Power Sales Agreement') between 13 the City and the Authority; and 14 WHEREAS, under the Power Sales Agreement the City will be entitled to a percentage 15 of the capacity and energy in the Antelope DSR 2 Solar Project, a solar generating facility to be 16 located in Los Angeles County, California; and 17 WHEREAS under the Power Sales Agreement, the City will receive a specified 18 percentage of capacity and energy in the Antelope DSR 2 Solar Project to which the City is 19 entitled (the "Facility Output Share"). 20 NOW, THEREFORE, THE CITY COUNCIL OF THE CITY OF COLTON 21 DOES HEREBY RESOLVE AS FOLLOWS: 22 23 1. The City Manager of the City of Colton is authorized to execute and deliver the Power Sales Agreement, with such changes, insertions and omissions as shall be approved 24 by the official executing the Power Sales Agreement (such approval to be conclusively 25 evidenced by such execution), and the City Clerk is hereby authorized to attest to such signature. 26 2. The Facility Output Share for the City to be set forth in the executed Power Sales 27 Agreement shall not exceed 40.0 percent (40.0%). 28 23152.04000\8346093.1
