R-105-07 <br />RESOLUTION OF THE CITY COUNCIL OF THE CITY OF COLTON <br />AUTHORIZING AND APPROVING THE ISSUANCE OF LEASE REVENUE <br />BONDS, 2007 SERIES B, IN THE AGGREGATE PRINCIPAL AMOUNT NOT TO <br />EXCEED $14,200,000, APPROVING A PROJECT LEASE, A LEASE <br />AGREEMENT, AN AGENCY AGREEMENT, A PRELIMINARY OFFICIAL <br />STATEMENT, ESCROW AGREEMENTS, A CONTINUING DISCLOSURE <br />AGREEMENT, AND AUTHORIZING OFFICIAL ACTIONS AND EXECUTION <br />OF DOCUMENTS RELATED THERETO <br />WHEREAS, the Colton Public Financing Authority (the "Authority") has been <br />formed pursuant to a Joint Exercise of Powers Agreement by the City of Colton (the <br />"City") and the Redevelopment Agency for the City of Colton (the "Agency"), and is <br />authorized under the Agreement and under the laws of the State of California to finance and <br />refinance the acquisition and construction of public capital improvements for any of its <br />members; and <br />WHEREAS, the Authority has previously caused the execution and delivery of its <br />1998 Refunding Certificates of Participation (Corporation Yard Project) (the "1998 <br />Certificates"); and <br />WHEREAS, the Authority has previously caused the execution and delivery of its <br />Lease Revenue Bonds, 2002 Series A (Big League Dreams Project) (the "2002 Bonds"); <br />and <br />WHEREAS, the City and the Authority have determined that it is necessary and <br />desirable to refund all of the outstanding 1998 Certificates and the outstanding 2002 Bonds <br />and to finance certain capital projects within the City (collectively, the "Projects") by <br />issuing its Lease Revenue Bonds, 2007 Series B (the "Bonds"), pursuant to an Indenture <br />(the "Indenture"), by and between the Authority and U.S. Bank National Association, as <br />trustee (the "Trustee"), a Project Lease (the "Project Lease"), by and between the City and <br />
