PARTIES AND DATE <br />This First Amendment to the Maintenance Services Agreement ("First <br />Amendment") dated as of the 3 IST day of July, 2006 is entered into by and between the <br />City of Colton ("City") and Ability Counts Incorporated ("Contractor"). <br />ARTICLE 2. RECITALS <br />2.1 City and Contractor entered into that certain Maintenance Services <br />Agreement dated July 1, 2005 ("Agreement"), whereby Contractor agreed to provide <br />custodial services. <br />2.2 City and Contractor now desire to amend the Agreement to extend the <br />term of the Agreement through June 2007 and increase the compensation accordingly by <br />$37,272.00. <br />ARTICLE 3. TERMS <br />3.1 Section 3.1.2 and 3.3.1 of the Agreement is hereby deleted in its entirety <br />and replaced with a new'Section 3.1.2 and 3.3.1 to read as follows: <br />3.1.2 TERM The term of this Agreement shall be from July 1, 2005 through June <br />30, 2007, unless earlier terminated as provided herein. Contractor shall complete the <br />Services within the term of this Agreement, and shall meet any other established <br />schedules and deadlines. <br />3.3.1 COMPENSATION Contractor shall receive compensation, including <br />authorized reimbursements, for all Services rendered under this Agreement at the rates <br />set forth in Exhibit `C' attached hereto and incorporated herein by reference. The total <br />compensation shall not exceed Seventy -Four Thousand Dollars Five Hundred Forty <br />Four Dollars and no cents ($74,544.00). <br />
