M VED BYOUNCILL --- _JSQ Professional Service Agreement Between the City of Colton And Manning & Marder Kass, Ellrod, Ramirez LLP Attorneys at Law Amendment 1 This Agreement, made and entered into this 14th day of June, 2007, by and between Manning & Marder Kass, Ellrod, Ramirez LLP Attorneys at Law (herein referred to as "CONSULTANT"), and the CITY OF COLTON, (herein referred to as "CITY") is hereby amending the original Professional Service Agreement (entered November 21, 2006), effective July 1, 2006, and is amended to read as follows: Agreement: 1. TERM, Section 3.1.2, page 1, delete and replace with the following: 3.1.2 Term. The term of this Agreement shall be from July 1, 2006 to June 30, 2007, unless earlier terminated or extended as provided herein. Consultant shall complete the Services within the term of this Agreement, and shall meet any other established schedules and deadlines. 2. COMPENSATION, Section 3.3.1, page 6, delete and replace with the following: 3.3.1 Compensation. Consultant shall receive compensation, including authorized reimbursements, for all Services rendered under this Agreement at the rates set forth in Exhibit "C" attached hereto and incorporated herein by reference. The total compensation shall not exceed Eighty thousand dollars ($80,000) without written approval of the City Council. Extra work may be authorized, as described below, and if authorized, will be compensated at the rates and manner set forth in this Agreement. 3. Exhibit "C" — Compensation, delete and replace with the attached Revised Exhibit "C". All other terms and conditions remain unchanged.
