PARTIES AND DATE <br />This Third Amendment to the Maintenance Agreement ("Third Amendment") <br />dated as of the 8th day of August, 2007 is entered into by and between the City of Colton <br />("City") and West Coast Arborist, Incorporated. (Contractor) <br />ARTICLE 2. RECITALS <br />2.1 City and Contractor entered into that certain Maintenance Agreement <br />dated March 21, 2006 ("Agreement"), amended on August 1, 2006 ("First Amendment"), <br />and amended on November 21, 2006 ("Second Amendment") whereby Contractor agreed <br />to provide the City with tree trimming maintenance services. <br />2.2 City and Contractor now desire to amend the Agreement to extend the <br />term of the Agreement to end June 30, 2008, and increase the compensation by one <br />hundred thirty thousand dollars and no cents ($130,000) for this extended term <br />period. <br />ARTICLE 3. TERMS <br />3.1 Section 3.1.2 and 3.3.1 of the Agreement are hereby deleted in their <br />entirety and replaced with new Sections 3.1.2 and 3.3.1 to read as follows: <br />"3.1.2 Term. The term of this Agreement shall be from July 1, <br />2007 to June 30, 2008, unless earlier terminated as provided herein. <br />Contractor shall complete the Services within the term of this <br />Agreement, and shall meet any other established schedules and <br />deadlines." <br />"3.3.1 Compensation. Contractor shall receive compensation, <br />including authorized reimbursements, for all Services rendered under <br />this Agreement at the rates set forth in Exhibit "C". The total <br />
