Notwithstanding the termination of this Agreement, the PARTIES <br />shall be required to carry out all provisions of this Agreement <br />which contemplate performance subsequent to such termination, and <br />termination shall not affect any liability or other obligation <br />accrued prior to the date of termination. <br />In the event of termination, and at the request of SAWPA, the <br />successor administrator (if it is not SAWPA), whether COLTON, SAN <br />BERNARDINO, or a third party, shall promptly purchase, at <br />replacement cost less depreciation, any equipment and/or materials <br />from SAWPA used exclusively in the administration of the <br />Demonstration System. <br />14. Independent Contractor. SAWPA, in performance of the <br />services hereunder, is an independent contractor, and all employees <br />of SAWPA are solely employees of SAWPA and not the agents or <br />employees of COLTON and SAN BERNARDINO. <br />15. Compliance With Law. In performing the services required <br />hereunder, SAWPA shall comply with all applicable federal, state and <br />county statutes, ordinances and regulations. If such compliance is <br />impossible for reasons beyond its control, SAWPA shall immediately <br />notify the other PARTIES of the fact and the reasons therefore; <br />provided, however, COLTON and SAN BERNARDINO hereby agree to <br />prohibit and to promptly terminate the discharge to the <br />Demonstration System of any wastewater which may cause the <br />violation of the Demonstration System's Waste Discharge Permit, and <br />10 <br />
