18. Specific Enforcement. This Agreement may be specifically <br />enforced by any PARTY or third party beneficiary. <br />19. Assignment. Neither this Agreement nor any duties or <br />obligations hereunder shall be assigned by SAWPA without the prior <br />written consent of COLTON and SAN BERNARDINO. <br />20. Further Acts. Each PARTY to this Agreement agrees to <br />execute and deliver all documents and perform all further acts that <br />may be reasonably necessary to carry out the provisions of this <br />Agreement. <br />21. Amendment. This Agreement may be amended in writing by <br />unanimous action of the PARTIES. <br />22. Arbitration. If a dispute arises as to the interpretation <br />or implementation of any provision of this Agreement, the issue or <br />issues in dispute or matter requiring action may be submitted to <br />binding arbitration, if the PARTIES agree to do so. For such <br />purposes, an arbitrator shall be selected by agreement of the <br />PARTIES. The agreed-upon arbitrator shall proceed to arbitrate the <br />matter in accordance with the provisions of Title 9, Part 3, of the <br />California Code of Civil Procedure (Section 1280 et seq.). <br />23. Attorney's Fees. In the event of legal action to enforce <br />or interpret this Agreement or any of its provisions, the prevailing <br />PARTY or PARTIES shall be entitled, in addition to any other form <br />of relief, to recover its or their reasonable attorney's fees and <br />costs of suit. <br />12 <br />
