Recitals. The above recitals, and each of <br />them, are true and correct. <br />Section 2. First Supplemental Indenture. The proposed <br />form of First Supplemental Indenture between the City and the <br />Trustee (the "First Supplemental Indenture") presented at this <br />meeting is hereby approved, and the Mayor or Mayor Pro Tem and <br />the City Clerk or Assistant City Clerk are hereby authorized and <br />directed for and in the name of the City to execute the First <br />Supplemental Indenture in substantially the form hereby <br />approved, with such changes therein as the officers executing <br />the same may approve, such approval to be conclusively evidenced <br />by the execution and delivery thereof. <br />Section 3. Second Amended and Restated Remarketing <br />Agreement. The proposed form of Second Amended and Restated <br />Remarketing Agreement and the appointment of Pacific Securities, <br />Incorporated as Remarketing Agent thereunder and under the <br />Indenture is hereby approved, and the Mayor or Mayor Pro Tem and <br />the City Clerk or Assistant City Clerk are hereby authorized and <br />directed for and in the name of the City to execute the Second <br />Amended and Restated Remarketing Agreement in substantially the <br />form hereby approved, with such changes therein as the officers <br />executing the same may approve, such approval to be conclusively <br />evidenced by the execution and delivery thereof. <br />-2- <br />
