The City hereby further authorizes and directs the conversion of the Indenture presently on file with the City Clerk into the final form of Indenture, with such changes or modifications as deemed 11 necessary or desirable by the Mayor or City Manager upon the recommendation of the City Attorney and Bond Counsel. The Mayor, City Manager, or such other authorized officers of the City are hereby authorized and directed to execute and deliver, and the City Clerk is hereby authorized and directed to attest to the final form of the Indenture, once prepared, and such execution and delivery of the Indenture shall be deemed to be conclusive evidence of its approval. The City hereby authorizes the delivery and performance of the obligations under the Indenture. Section 4. Approval of Final Form of Loan Agreement. The City hereby approves the form of Loan Agreement presently on file with the City Clerk with such changes as may be approved by the Mayor or City Manager upon the recommendation of the City Attorney and Bond Counsel. The City hereby further authorizes and directs conversion of the Loan Agreement presently on file with the City Clerk into the final form of the Loan Agreement, with such changes or modifications as deemed necessary or desirable by the Mayor or City Manager upon recommendation of the City Attorney and Bond Counsel. The Mayor, City Manager or such other authorized officer of the City is hereby authorized and directed to execute and deliver, and the City Clerk is hereby authorized and directed to attest to the final form of the Loan Agreement once prepared and - 4 -
