FIRST AMENDMENT TO PROFESSIONAL SERVICES AGREEMENT BETWEEN THE CITY OF COLTON AND WILLDAN, INC. PARTIES AND DATE. This First Amendment to the Professional Services Agreement ("First Amendment") dated as of the I I 1 of November, 2005 is entered into by and between the City of Colton ("City") and Willdan, Inc. ("Consultant/Architect"). 2. RECITALS. 2.1 Consultant. City and Consultant entered into that certain Professional Services Agreement dated November 11, 2005 ("Agreement"), whereby Consultant agreed to provide the City with Plan Check services to public clients, is licensed in the State of California. The Consultant will also perform Building Inspection Services as requested to ensure compliance of the Uniform Building Code and other related codes and standards. 2.2 Project. City and Consultant now desire to amend the Agreement to revise the amount of compensation. Due to the high volume of new construction this fiscal year the City and Consultant desire to increase the amount of compensation by a not to exceed amount of Twenty Thousand Dollars and no cents ($20,000). 3. TERNS. 3.3 Section 3.3.1 of the Agreement is modified to read as follows: 3.3.1 Compensation. Consultant shall receive compensation, including authorized reimbursements, for all Services rendered under this Agreement at the rates set forth in Exhibit "C" attached hereto and incorporated herein by reference. The total compensation shall not exceed Seventy -Five Thousand Dollars ($75,000) without written approval of City's Representative. Extra Work may be authorized, as described below, and if authorized, will be compensated at the rates and manner set forth in this Agreement.
