FIRST AMENDMENT TO PROFESSIONAL SERVICES AGREEMENT <br />BETWEEN THE CITY OF COLTON <br />AND <br />AC ELECTRIC SYSTEMS <br />ARTICLE 1. PARTIES AND DATE <br />This First Amendment to the Professional Services Agreement ("First Amendment"), dated as <br />of the 25th day of July, 2006, is entered into by and between the City of Colton ("City") and AC <br />Electric Systems ("Consultant"). <br />ARTICLE 2. RECITALS <br />2.1 City and Consultant entered into that certain Professional Services Agreement dated <br />February 15, 2006 ("Agreement"), whereby Consultant agreed to provide general electrical <br />engineering services for various electrical system issues to the City's Electric Department. <br />2.2 City and Consultant now desire to amend the Agreement to increase the amount of <br />on-site services from twenty (20) hours per week to forty (40) hours per week, and to increase the <br />total compensation accordingly. <br />ARTICLE 3. TERMS <br />3.1 Section 3.3.1 of the Agreement is hereby amended to increase total compensation to <br />Consultant from $52,000 to $82,000 and is restated in its entirety to read as follows: <br />"3.3.1 Compensation. Consultant shall receive compensation, <br />including authorized reimbursements, for all Services rendered under this <br />Agreement at the rates set forth in Exhibit "C" attached hereto and <br />incorporated herein by reference. The total compensation shall not exceed <br />eighty-two thousand dollars and zero cents ($82,000.00) per year without <br />written approval of City Manager. Extra Work may be authorized, as <br />described below, and if authorized, will be compensated at the rates and <br />manner set forth in this Agreement and exhibits attached thereto. <br />0RANGE\GP0WERS\28300.1 <br />
