FIRST AMENDMENT TO PROFESSIONAL SERVICES AGREEMENT BETWEEN THE CITY OF COLTON AND WILLDAN FINANCIAL SERVICES, INC. (FORMERLY WILLDAN ENGINEERING INC.) 1. PARTIES AND DATE. This First Amendment to the Professional Services Agreement ("First Amendment") is made and entered into this 16th day of November, 2010 by and between the City of Colton ("City") and Willdan Engineering Inc., a corporation, ("Consultant"). City and Consultant are sometimes individually referred to as "Party" and collectively as "Parties" in this First Amendment. 2. RECITALS. 2.1 Agreement. City and Consultant entered into that certain Professional Services Agreement dated June 23, 2009 ("Agreement"), whereby Consultant agreed to provide Building Official, Plan Checking and Building Inspection Services, as well as perform a Comprehensive Development Services User Fee Study. 2.2 Amendment. City and Willdan Engineering Inc. desire to amend the Agreement, for the first time, to recognize and officially accept the name change of Willdan Engineering, Inc to Willdan Financial Services, Inc. In addition to accepting the name change, the City and the Consultant would like to amend the Agreement to revise the scope of services to include a comprehensive citywide user fee study and to increase compensation accordingly. 3. TERMS. 3.1 Parties and Date. All references in the original Agreement that refer to or name Willdan Engineering, Inc., as the Consultant, are hereby deleted in their entirety and replaced with Willdan Financial Services, Inc as the legal name of the firm. 3.2 Compensation. Section 3.3.1 (Compensation) of the Agreement is hereby deleted in its entirety and replaced with the following: "Consultant shall receive compensation, including authorized reimbursements, for all Services rendered under this Agreement at rates set forth in Exhibit "C" attached hereto and incorporated herein by reference. The total compensation for the Scope of Work for the Building Official, Plan Checking and Building Inspection Services as set forth in Exhibit "A" of the Agreement shall not exceed three hundred thousand dollars ($300,000) without written approval of the City Council.
