CITY OF COLTON <br />AGENDA REPORT <br />t <br />For Council Meeting of May 4, 1993 <br />TO: HONORABLE MAYOR AND CITY COUNCIL DATE: April 28, 1993 <br />FROM: JERRY YOUNG <br />Interim City Manager <br />SUBJECT: Transfer of Colton Cable Franchise from American Cable TV Investors 4, LTD ("Act 4") to <br />Tele-Communications, Inc. <br />BACKGROUND: <br />American Cable TV Investors 4, LTD ("ACT 4") has entered into an Asset Purchase Agreement with Tele- <br />Communications Inc. ("TCI") whereby Act 4 and TCI agree that TCI will acquire all of the assets used in the <br />ownership and operation of the cable television system serving in and around Redlands, Ca. These assets <br />include the franchise between Act 4 and the City of Colton, which expires on March 3, 1995. TCI has agreed <br />to assign all rights, title and interest in the agreement to TCI Cablevision of California corporation ("TCI -CA"). <br />DISCUSSION: <br />TCI -CA, has the legal, financial and technical ability to operate the local cable television system pursuant to <br />the terms of the Franchise Agreement between Act 4 and the City of Colton. A copy of TCI's latest financial <br />statements have been provided the City for informational purposes. TCI -CA does not anticipate changes in the <br />management or personnel of the local cable system, nor disruption of service as a result of this change of <br />ownership. <br />FISCAL IMPACT: <br />None. <br />RECOMMENDATION: <br />Staff recommends that the Council consents to the assignment by seller of its right, title, and interest in the <br />Franchise and system assets to TCI -CA and assumption by TCI -CA of seller's obligations under the Franchise <br />Agreement, by approving the attached resolution. <br />Report prepared by beryl Parrish, Acting Assistant to the City Manager <br />Attachments: (1) <br />c:\wpwtn%& 050/93..gc <br />akow !s <br />
