RESOLUTION NO. R-27-93 RESOLUTION APPROVING THE TRANSFER OF CABLE TELEVISION FRANCHISE FROM AMERICAN CABLE W INVESTORS 4, LTD. TO TCI CABLEVISION OF CALIFORNIA, INC. WHEREAS, American Cable TV Investors 4, Ltd., a Colorado limited partnership ("Seller"), is an affiliated entity of Tele-Communications, Inc., a Delaware corporation ('TCI"), and is the duly authorized holder of a franchise, permit, license or other authorization, as amended to date (the "Franchise"), which allows the Seller to operate and maintain the cable television system (the "System") providing cable television service to subscribers in the city of Colton, California (the "City"); and WHEREAS, Seller and TCI executed that certain Asset Purchase Agreement dated January 28, 1993, (the "Agreement") wherein Seller and TCI agreed that TCI will acquire all of the assets used in the ownership and operation of the System (the "System Assets"); and WHEREAS, as of January 28, 1993, TCI assigned all of its right, title and interest in the Agreement to TCI Cablevision of California, Inc., a California corporation ("TCI -CA"), a wholly owned subsidiary of TCI; and WHEREAS, TCI -CA desires to acquire all of Seller's right, title and interest in the Franchise and System Assets and to assume all of Seller's obligations under the Franchise which accrue from and after the date of closing under the Agreement (the "Closing Date"); and WHEREAS, the Seller has requested, and the City is willing to, consent to the assignment by Seller of Seller's right, title and interest in the Franchise and System Assets to TCI -CA as permitted by the Franchise Agreement, subject to the conditions set forth herein. NOW, THEREFORE, BE IT RESOLVED, that the City hereby consents to the assignment by Seller of its right, title and interest in the Franchise and System Assets to TCI -CA and assumption by TCI -CA of Seller's obligations under the Franchise which accrue from and after the Closing Date, subject to state and federal law.
