• all expenses for City requested on-site meetings or any other meeting or expenses incurred at <br />the City's request unless otherwise contractually specified; and <br />• any other similar cost, fee or expense, including outside field investigation or hearing <br />attendance, reasonably chargeable to the investigation, negotiation, settlement or defense of a <br />claim or loss or to the protection or perfection of the subrogation rights of the City which <br />must have the explicit prior approval of the City. <br />SECTION VII: DISPOSITION OF CLOSED FILES: <br />Ward-THG maintains closed files for a period of five (5) years after the date of closure. <br />The City authorizes Ward to destroy the claim file at the end of the fifth year. <br />SECTION VIII: MODIFICATION OR AMENDMENT: <br />No modification, amendment, or supplement to, or waiver of, this Agreement or any of its <br />provisions shall be binding upon the parties hereto unless made in writing and duly signed by all <br />parties to be charged therewith. <br />SECTION IX: NON -WAIVER: <br />Failure or delay of any party to this Agreement to endorse at any time any of the <br />provisions of this Agreement, or to exercise any option herein provided, or to require at any time <br />performance of any of the provisions hereof, shall in no way be construed to be a waiver of such <br />provision of this Agreement. <br />SECTION X: ENTIRE AGREEMENT: <br />This Agreement together with all exhibits and schedules attached hereto constitutes the <br />entire agreement between the parties and supersedes all previous agreements, promises, <br />representations, understandings, and negotiations, whether written or oral, between the parties <br />with respect to the subject matter hereof. <br />SECTION XI: SEVERABILITY: <br />In the event that any one or more of the provisions of this Agreement shall for any reason <br />be held to be invalid, illegal, or unenforceable, the remaining provisions of this Agreement shall be <br />unimpaired. The invalid, illegal, or unenforceable provisions shall be replaced by mutually <br />acceptable provisions, which, being valid, legal, and enforceable, come closest to the intention of <br />the parties underlying the invalid, illegal or unenforceable provisions. <br />-5- <br />
