• all expenses for City requested on-site meetings or any other meeting or expenses incurred at the City's request unless otherwise contractually specified; and • any other similar cost, fee or expense, including outside field investigation or hearing attendance, reasonably chargeable to the investigation, negotiation, settlement or defense of a claim or loss or to the protection or perfection of the subrogation rights of the City which must have the explicit prior approval of the City. SECTION VII: DISPOSITION OF CLOSED FILES: Ward-THG maintains closed files for a period of five (5) years after the date of closure. The City authorizes Ward to destroy the claim file at the end of the fifth year. SECTION VIII: MODIFICATION OR AMENDMENT: No modification, amendment, or supplement to, or waiver of, this Agreement or any of its provisions shall be binding upon the parties hereto unless made in writing and duly signed by all parties to be charged therewith. SECTION IX: NON -WAIVER: Failure or delay of any party to this Agreement to endorse at any time any of the provisions of this Agreement, or to exercise any option herein provided, or to require at any time performance of any of the provisions hereof, shall in no way be construed to be a waiver of such provision of this Agreement. SECTION X: ENTIRE AGREEMENT: This Agreement together with all exhibits and schedules attached hereto constitutes the entire agreement between the parties and supersedes all previous agreements, promises, representations, understandings, and negotiations, whether written or oral, between the parties with respect to the subject matter hereof. SECTION XI: SEVERABILITY: In the event that any one or more of the provisions of this Agreement shall for any reason be held to be invalid, illegal, or unenforceable, the remaining provisions of this Agreement shall be unimpaired. The invalid, illegal, or unenforceable provisions shall be replaced by mutually acceptable provisions, which, being valid, legal, and enforceable, come closest to the intention of the parties underlying the invalid, illegal or unenforceable provisions. -5-
