3. Names of official representatives and alternates shall be communicated to the <br />Board of Directors by the appointing city or county. <br />4. Official representatives and alternates shall serve until a successor is appointed, <br />except if an official representative of the city or county appointing him, in which case his seat <br />as an official representative shall be vacant until a successor is appointed. <br />Article IV - Board of Directors <br />A. The powers and functions of the Board of Directors, subject to the limitations of <br />Article 1, shall include: <br />1. The making of policy decisions and the determination of policy matters for the <br />Association. <br />2. Any official representative may, at .any meeting of the Board of Directors, <br />propose a subject or subjects for study by the Association, The Board of Directors may <br />determine whether a study will be make of the subject or subjects so proposed. <br />3. Each year at its annual meeting, the Board of Dirt -tors shall review the proposed <br />�' budget and assessment schedule submitted by the Executive Director and shall adopt an annual <br />budget and an assessment schedule. <br />1. The Board of Directors shall conduct the affairs of the Asso.-iation. <br />2. The Board of Directors shall have power to transfer funds within the total budget <br />amount in order to meet unanticipated needs or changed situation. <br />3. The Board of Directors shall have the authority to appoint, fix the salary of, and <br />remove an Executive Director of the Association and shall have the authority to create and <br />discontinue positions in the employ of the Association and fix salaries. <br />4. The Board of Directors shall have the power to appoint committees to study <br />specific problems, programs, or other matterswhich they have approved for study. <br />5. Recommendations from committees for policy decisions shall be made to the <br />Board of Directors.
