Taormina Industries makes available to City staff its <br />corporate executives, principals and operations supervisors on a 24-hour p8r day basis. <br />Monthly meetings are held' to keep verbal communications at the highest IeveL The <br />requests and inquires of Ci#y staff to Taormina have been dealt with expeditiously and <br />professionally. f inally, Taormina provides detailed reports each month that specifically <br />describe the residential and commercial senrices provided (which is the basis for our <br />verification of the fcanchise fee), the dixersion totais are quantified and complaint <br />information is provided (Exhibit One). <br />On May 14, 1997 the Caiifornia lntegrated Waste Management Board will consider its <br />staif's recommendation to approve (as amended) the previously disapproved Source <br />Reduction and Recycling Elernent (SRRE). This is the resutt of the efforts put forth by <br />Taormina Industries and its consultant Integrated Recycling Incorporated in providing <br />assurance that Colton is in compliance with AB 939. The Agreement obligates <br />Taormina to indemnify and hold harmless the City of Colton against all fees and <br />penalties imposed by the California lntegrated Waste Management Board if the <br />diversion goafs specified in Califorrmia Public Resources Code 41780 (AB 939) are not <br />met by the City with respect to the municipa( solid waste collected' by Taormina or due <br />to Taormina's delays in providing information required io submit timely reports as <br />required by the Public Resources Code. ` <br />SALIENT POINTS OF THE PROPOSED AMENDED AGREEMENT: ,,1.. <br />Extension (Section 3.01) {Evergreen Glause) <br />The terrn of the agreemenf shall be extended automatically for an additional one year <br />period on January 1Si of each year subject to subsection 3:01 c. <br />The term will be extended automatically on a"rolling" basis until nofice is given that no <br />further exfension wil! be granted. The term of the agreement is a function of the need <br />to procure capital for plant and equipment' needs. Additionally, an "evergreen" <br />commitment to Taormina from the City of Colton should assist Taormina in establishing <br />a foothold in the regional solid waste marketplace. This in tum will create the <br />economies of scale' necessary for Ta�miina to develop and operate a Materials <br />Recovery Facility (MRF) in the City of Colton. <br />The existing agreement has an initial term of ten years (through June 30, 2006) with #he <br />City reserving the right to extend the term for additional two year periods. <br />Guarantee of Exclusive Franchise (Exhibit 2.02d) <br />The fixed accounts under the permit approved Jufy 1, 1992 (Jack's Disposal) wilf <br />transition to Taormina under the terms of this Agreement upon termination of the <br />aforementioned permit (Exhibit Two). <br />Naming Taormina as the exclusive service provider will encourage significant capital �� <br />and equipment investments in the community as specified aboue p1us, provide a firm `� �� <br />foundation on which future planning can take place to meet.the City's future waste <br />2 <br />
