The Mayor, City Manager or such other <br />authorized officer of the City is hereby authorized and directed <br />to execute and deliver, as necessary, and the City Clerk is <br />hereby authorized and directed to attest to, as necessary, the <br />I <br />final form of the Supplemental Trust Indenture when the same has <br />been prepared and such execution and delivery shall be deemed to <br />be conclusive � vidence of the approval thereof. The City hereby <br />authorizes the delivery and execution of the Supplemental Trust <br />Indenture. <br />Section 6. Official Action. The Mayor, City <br />Manager, City Attorney, Bond Counsel and any and all other <br />officers of t e City are hereby authorized and directed, on <br />behalf of the! City, to take any and all actions including <br />execution and delivery of assignments, certificates, <br />requisitions, �agreements, notices, consents, instruments of <br />conveyance, warrants and other documents, which may be deemed <br />I <br />necessary or advisable to consummate the lawful sale of the <br />Project and outstanding Prior Bonds as described herein. <br />Whenever this esolution authorizes an officer of the City to <br />execute or countersign a document or take any other action, such <br />action may e:ta en by any person designated by such officer to <br />act on his or her behalf when such officer is absent or otherwise <br />unavailable. <br />,The City hereby appoints the Mayor and City Manager <br />as agents of the City for purposes of executing documents and <br />I <br />5 <br />
