AZUSA-COLTON <br />CUSTOMER INFORMATION SERVICES AGREEMENT <br />This Customer Information Services Agreement ("Agreement") is made and entered <br />into on this 7`'' day of April 1999, between the City of Azusa, a municipal corporation <br />("Azusa") and the City of Colton, a municipal corporation ("Colton"), sometimes referred <br />to individually as a "Party" and collectively as "Parties." <br />1. Recitals: <br />1.1 Azusa and Colton each bill customers electric, water, wastewater and <br />refuse collection services. <br />1.2. Azusa has developed a Municipal Utility Information System <br />("MUIS") based upon a utility billing system which Azusa obtained <br />pursuant to an agreement between Azusa and D.J. Roupe & <br />Associates. <br />1.3 Colton desires to use the MUIS system and to have Azusa provide <br />certain other services related to the billing of Colton's customers for <br />the services described above. <br />2. Agreement: <br />2.1 The Parties, in consideration of the following terms, covenants and <br />conditions, agree as follows: <br />3. Definitions: <br />3.1 Authorized Representative - The designated employee of either Party <br />who will be the sole source for official requests and correspondences. <br />3.2 Base Code - All source code acquired from and owned by D.J. Roupe <br />& Associates for which a separate copyright is maintained. <br />3.3 Change State - The state of operation during periods when either <br />hardware or software changes are being made such that they affect the <br />Operational State of the MUIS system for a period of at least two <br />working days. A Change State is defined as requiring more MUIS <br />Staff time than can be accommodated within a normal weekly <br />schedule. Changes are minor alterations or additions to the existing <br />version of the MUIS system. After successful completion of the <br />Customization or other changes implemented during this state, the <br />system will return to an Operational State. <br />Page 1 of 11 <br />Azusa Colton Customer Information Services Agreement <br />
