8.3 If during the term of this Agreement, the person who when this Agreement becomes effective is the MUIS Manager should leave that position for any reason, Azusa will attempt to fill the position provided that Colton approves the person selected by Azusa to fill the position. In the event that Azusa does not fill the position of MUIS Manager or Colton does not approve the person selected to fill such position, either Party may give the other Party ninety (90) written notice of termination of this Agreement. 9. Proprietary Information: 9.1 Colton acknowledges that the MUIS system constitutes valuable property of Azusa and that all title and ownership rights in the MUIS system remain exclusively with Azusa. 10. Authorized Representatives: 10.1 Each Party shall designate, by written notice to the other Party, a representative who is authorized to act on its behalf in the implementation of this Agreement, provided that the Authorized Representative shall have no authority to modify any provisions of this Agreement. Either Party may at any time change the designation of its Authorized Party by written notice to the other Party. 11. Billing: 11.1 Azusa shall render bills to Colton on or about the first day of the month for services provided during the previous month. Colton shall make payments therefor within twenty (20) days after receipt of the bill. Bills that are not paid in full within twenty (20) days after receipt shall thereafter bear interest at the rate of one percent (1 %) per month on the unpaid balance, or at the maximum legal rate, whichever is less, until payment is made.
