12 <br />6.5 One day per week is designed for a member of the MUIS Staff to <br />provide on site support to Colton including Customization and <br />consultation. The cost of such support is included in charges <br />provided for in Section 6.3. <br />7. Payment and Expense Sharing: <br />7.1 Colton will pay Azusa a software services fee for the right to use the <br />MUIS system equal to $36,000 per year for the term of the <br />Agreement. <br />7.2 The costs of all ongoing maintenance and support charges for all <br />Direct Items/Expenses shall be shared equally (e.g. 50/50 basis) by <br />Colton and Azusa. <br />7.3 All Indirect Items/Expenses relating to the MUIS system shall be paid <br />for by the Party on whose behalf the cost was incurred. <br />7.4 All MUIS Staff time shall be reimbursed to Azusa by Colton based <br />upon 45% of the employee's salary to cover fringe benefits and 20% <br />of such salaries to cover administrative and general expenses. <br />7.5 Colton shall reimburse Azusa for all reasonable "out of pocket" <br />expenses that are incurred in support of Colton. These items may <br />include computer supplies (disks, paper, cables), telephone expenses <br />and employee mileage reimbursements. <br />8. Effective Date and Term: <br />8.1 This Agreement shall become effective on the date first above <br />written. <br />8.2 This Agreement shall terminate ten(10) years after the effective date, <br />unless terminated as provided in this section or in section <br />8.3.Commencing with the end of the fourth(4th) year of this <br />Agreement, either Party may upon twelve (12) months written notice <br />to the other Party terminate this Agreement. <br />'Musa Colton <br />Page 7 of I I <br />Customer Information Services Agreement <br />
