(f) any special charges for work which may result from a State audit of any <br />prior claims administrator's errors; and <br />(g) costs for printed checks, and printing charges of specialized forms not <br />elsewhere used by TRISTAR; and <br />(h) costs for copies of any public records and/or medical records; and <br />(i) any other similar cost, fee or expense reasonable and customarily <br />chargeable to the direct investigation, negotiation, settlement or defense <br />of a claim or loss or to the protection of CLIENT's subrogation rights; <br />and <br />(j) costs associated with tape -to -tape transfer of CLIENT's current and <br />historical claim information. <br />V. RENEWAL OF AGREEMENT <br />5.1 After the initial contract period, this AGREEMENT may be renewed at an <br />agreed upon fee provided however, that any proposed revisions to the <br />AGREEMENT by either party be submitted in writing no later than sixty (60) <br />days preceding the expiration of the contract. <br />VI. GENERAL CONDITIONS <br />6.1 The parties hereto agree that TRISTAR, in the performance of this <br />AGREEMENT, shall act in an independent capacity as independent contractors <br />and not as officers, agents or employees of the CLIENT. <br />6.2 Neither party shall assign this AGREEMENT, or any part hereof, without the <br />written consent of the other party. <br />6.3 The services to be performed by TRISTAR under this AGREEMENT shall <br />specifically exclude any which now, or in the future, are deemed to be the <br />practice of law. <br />6.4 All claim file records, reports and other documents and material pertaining to <br />the CLIENT's claims shall be the property of the CLIENT and shall be <br />delivered to the CLIENT, or its designee, by TRISTAR following the <br />termination of this AGREEMENT. <br />4 <br />
