III. CLAIM RESPONSIBILITIES OF CLIENT <br />3.1 CLIENT shall report all claims to TRISTAR upon CLIENT's first notice of a <br />claim so as to comply with applicable Workers' Compensation laws. <br />3.2 CLIENT will cooperate, in a timely fashion, with the reasonable request's of <br />TRISTAR for personnel or payroll information necessary to pay claims as <br />required by law or to investigate the compensability of a claim. <br />IV. TERM AND FEES <br />4.1 The term of this AGREEMENT is , 19 to , 19. The <br />annual fee for the services of TRISTAR as contained in this AGREEMENT is <br />based on an estimated average open indemnity claims at $ per claim and <br />medical only claims opened during the year at $ per claim. The total <br />estimated fee is $ which is to be paid in four quarterly installments of $ <br />paid in advance. The estimated annual fee is subject to audit at the end of the <br />contract period with final payment due to TRISTAR or the CLIENT within 30 <br />days. <br />4.2 The fees referenced in Section 4.1 cover the following services of TRISTAR: <br />(a) All monthly Loss Statistical Reports as well as Loss Control Summaries. <br />(b) Internal management of all aspects of any program compliance required <br />for self insurance, Workers' Compensation programs. <br />4.3 The fee quoted excludes all allocated claim services which are defined as the <br />costs incurred outside of the scope of normal administrative adjustment services, <br />such as: <br />(a) fees to attorneys; and <br />(b) all court cost, fees or expenses; and <br />(c) costs and materials for employing expert witnesses; and <br />(d) costs of independent undercover operative, surveillance and detective <br />services; and <br />(e) costs for independent evaluation or services in matters of mandatory <br />vocational rehabilitation; and <br />
