6. Contract Documents <br />6.1 The contract entered into by this Agreement consists of the following Contract Documents, all of <br />which are component parts of the contract as if herein set forth in full or attached hereto: <br />A. Request for Proposals <br />B. Proposal requirements <br />C. Proposal <br />D. Agreement <br />E. Labor and Materials Bond <br />F. Insurance Certificates <br />G. Contractor's Certification Regarding Worker's Compensation <br />H, Specifications <br />7. Independent Contractor <br />7.1 The Contractor is and shall at all times remain as to the City a wholly -independent Contractor. <br />Neither the City nor any of its officers, employees, or.agents shall have control over the conduct <br />of the Contractor or any of the Contractors officers, employees, servants, agents or <br />subcontractors, except as set forth in the Contract Documents. The Contractor shall not at any <br />time or in any manner represent that it or any of its officers, employees, agents, or <br />subcontractors, are in any manner officers, employees, agents or subcontractors of the City. <br />8. Indemnification <br />8.1 The Contractor hereby agrees to indemnify, defend and hold harmless the City, and its -officers, <br />employees, servants and agents from and against any and all claims, liability, loss, damage, cost <br />andexpense, including court costs and attorney's fees, whether or not litigation be commenced, <br />because of injury or death to any person whomsoever or damage to any property whatsoever, <br />arising out of or in any way connected with the perform ' ance of the work by the Contractor or any <br />of the Contractor's officer's, employees, servants or agents or any subcontractor. <br />8.2 The City does not, and shall not waive any rights against Contractor which it may have by reason <br />of the aforesaid indemnification agreement, because of the acceptance by the City of the deposit <br />with the City by Contractor, of any of the insurance policies specified in this Agreement or other <br />Contract Document. <br />8.3 The aforesaid indemnification agreement shall apply regardless of whether or not the insurance <br />policies specified in this Agreement or other Contract Document shall have been determined to be <br />applicable to the claim, liability, loss damage, cost or expense. <br />9.- Insurance. <br />9.1 Time for Compliance Contractor shall not commence Work under this Contract until it has <br />provided evidence satisfactory to the City that it has secured all insurance required under this <br />section. In addition, Contractor shall not allow any subcontractor to commence work on any <br />subcontract until it has provided evidence satisfactory to the City that the subcontractor has <br />secured all insurance required under this section. <br />9.2 Minimum Requirements. Contractor shall, at its expense, procure and maintain for the duration of <br />the Contract insurance against claims for injuries to persons or damages to property which may <br />arise from or in connection with the performance o ' f the Work hereunder by the Contractor, its <br />agents, representatives, employees or subcontractors. Contractor shall also require all of its <br />subcontractors to procure and maintain the same insurance for the duration of the Contract. Such <br />insurance shall meet at least the following minimum levels of coverage: <br />92.1 Minimum Scope of Insurance. Coverage shall be at least as broad as the latest version <br />of the following: (1) General Liability. Insurance Services Office Commercial General <br />Liability coverage (occurrence form CG 0001); (2) Automobile Liability.' Insurance <br />Services Office Business Auto Coverage form number CA 0001, code 1 (any auto); (3) <br />Workers' Compensation and Employers' Liability. Workers' Compensation insurance as <br />required by the State of California and Employer's Liability Insurance; and (4) BuildersyAll <br />2 <br />
