If SETC is successful in negotiating a <br />favorable resolution regarding these payments, SETC will credit Colton with any amounts received. Please <br />be aware however, that, in accordance with Section 24 of the amended agreement between the parties, <br />Colton has acknowledged that SETC does not act as Colton's agent or fiduciary. Accordingly, SETC has <br />no liability if the CAISO decides against Colton and does not refund the disputed amounts. <br />Further, SETC and Colton do hereby agree that the completed profit sharing arrangement ("Prof -it Share") <br />between the parties agreed to by Colton and administered by SETC during the Term is deemed by each <br />party to be final and binding. SETC! agrees that it shall not seek any further consideration under the Profit <br />Share. <br />Additionally, SETC will also terminate its role as SC for American Utility Network, Inc. ("AUN") on the <br />Effective I?ate in keeping with the spirit of the power sales agreement between yourselves and AUN. This <br />
