FIRST AMENDMENT SPORTS PARK STRUCTURES LEASE CITY OF COLTON/BIG LEAGUE DREAMS COLTON, LLC THIS FIRST AMENDMENT (this "First Amendment') to the Sports Park Structures Lease dated November 6, 2001 (the "Agreement') by and between the City of Colton ("Landlord") and Big League Dreams Colton, LLC ("Tenant') is entered effective , 2003. RECITALS A. Subsequent to the date of the Agreement, environmental issues arose with respect to the land originally designated as the site for the Big League Dreams Colton Sports Park. The City has identified other suitable land near the intersection of Interstate 10 and Interstate 215 for such purposes. B. The parties, by this First Amendment, wish to amend the Agreement to make it applicable, and to document other understandings reached with respect to, the new site. AGREEMENT 1. Definitions. Unless otherwise provided herein, terms defined in the Agreement shall have the same meaning when used in this First Amendment. The following terms defined in the Agreement shall have the amended and restated meanings set forth below: "Sports Park" means the approximately _ acre sports park facility, including the Structures, to be designed and constructed by the Landlord on the Structures Land and on adjacent land designated for the construction of playing fields and courts. The Sports Park is a community sports facility as such term is used in the Colton Municipal Code. The following terms are defined below and shall apply to the Agreement as amended by this First Amendment: 'Base Amount' is defined in Section 5 of the Agreement, as amended and restated by Section 2 of this First Amendment. "Base Amount Payments" is defined in Section 5 of the Agreement, as amended and restated by Section 2 of this First Amendment.
