(d) Coral Management shall verify the quantity of electricity delivered to the <br />City from the Facilities. <br />(e) In the event a modification is required to a pre-scheduled transaction with <br />respect to a failure to deliver electricity, Coral Management shall contact <br />all necessary control areas and scheduling parties and endeavor to arrange <br />for schedule modifications necessary to obtain replacement electricity <br />from the Generation Facilities or other sources of power; provided, <br />however, Coral Management shall neither be required to make, nor shall <br />Coral Management be liable for losses that may arise out of, its economic <br />decisions with regard to modifications of pre-scheduled transactions <br />beyond the extent any such losses are incurred in the implementation of <br />any Optimization Strategy (as hereinafter defined), then such losses shall <br />be considered in calculating the Savings, if. any, obtained from such <br />Optimization Strategy. <br />( fl Coral Management shall provide reconciliations of generation and <br />transmission of electricity scheduled versus the quantity of such <br />generation and transmission of electricity actually provided by each of the <br />Facilities. Coral Management shall also (i) assist in managing the <br />settlement process with the ISO including monthly settlement of the ISO <br />Grid Management Charge at the 50% rate for the City's current <br />transmission rights and (ii) provide reasonable assistance and <br />documentation in connection with audits of the City to the extent such <br />audits pertain to Coral Management's execution of any of the Services. <br />To the extent Coral Management is requested to provide data, which Coral <br />Management deems confidential or proprietary, the City shall take all <br />reasonable steps necessary to protect the confidentiality of such data and <br />Coral Management shall not be required to disclose such data until it is <br />reasonably satisfied that such data will be kept confidential. It is hereby <br />acknowledged and agreed that data submitted to the City by Coral <br />Management may be considered a public record subj ect to disclosure <br />under the California Public Records Act unless an exception from <br />disclosure applies. In the event a public records request is made for <br />disclosure of a record that contains data submitted by Coral Management <br />which Coral Management considers confidential, the City shall provide <br />Coral Management with the opportunity to claim that an exception from <br />disclosure applies. <br />(g) Coral Management shall provide daily, weekly and monthly reconciliation <br />reports and summaries of the City's transactions with the Facilities. The <br />City shall directly pay the appropriate entity for the cost of any <br />transmission or generation services provided by such entity. As the City's <br />scheduling coordinator with the ISO, Coral Management shall assist in <br />managing the settlement process with the ISO and their associated fees <br />(collectively, the "ISO Fees") with such entities on the City's behalf to the <br />2 <br />
