extent the City provides Coral Management with the necessary funds to <br />pay the ISO Fees. Coral Management shall invoice the City on a monthly <br />basis for the ISO Fees based upon estimated settlement data obtained from <br />the ISO and the ISO Fees shall be reconciled in subsequent invoices as <br />Coral Management receives actual settlement data from the ISO. <br />(h) Coral Management shall provide the City with certain other written reports <br />regarding the generation and transmission of electricity delivered to the <br />City from the Facilities to the extent the City reasonably determines that <br />such reports are useful in analyzing the electricity provided by the <br />Facilities to the City. The Parties shall mutually develop examples of each <br />such report to be provided by Coral Management to the City, including the <br />specific data and format to be included therein. The Parties contemplate <br />that such reports shall include any or all of the following: <br />(i) preschedule reports; <br />(ii) actual load and dispatch reports; <br />(iii) settlement data for ISO and other third party market transactions; <br />(iv) summaries of peak demand and energy utilization, resource <br />operation, market purchases and sales and transmission utilization; <br />and <br />(v) reports necessary to assist with settlements under the SCE <br />Restructuring Agreement <br />(i) Coral Management shall assist the City in preparing quarterly reports <br />required by FERC, CEC, and the California State Franchise Board. <br />2. Optimization Services. During the term hereof, the City hereby engages Coral <br />Management to provide the following services (collectively, the "Optimization Services") <br />subj ect to the terms and conditions set forth herein. <br />(a) From time to time during the term of this Agreement, Coral Management <br />shall perform market and risk assessments of the City's electrical load <br />requirements and the options available to the City for reducing the cost of <br />electricity required by the City. From and after Coral Management's <br />preparation of such risk assessments, the Parties shall discuss the proposed <br />strategies Coral Management suggests the City implement (all such <br />strategies are collectively referred to herein as "O�timization Strate ies"), <br />and the Parties shall mutually agree on which Optimization Strategies, if <br />any, the Parties contemplate effectuating. In the event the Parties agree to <br />attempt to implement any Optimization Strategy, the Parties shall enter <br />into an amendment of this Agreement or other mutually agreeable <br />documentation necessary for the execution and consummation of such <br />Optimization Strategy (e.g. broker and/or agency agreements, power <br />maxketing agreements, etc.). Coral Management shall not enter into any <br />Optimization Strategies with any third parties on behalf of the City unless <br />each such third party is of sufficient credit risk so as to satisfy both Coral <br />
