4. TERMINATION <br />Either party may terminate this Agreement at any time by giving written <br />notice to the other party of such termination and specifying the effective <br />date thereof, at least ninety (90) days before the effective date of such <br />termination. <br />4. HOLD HARMLESS AND INDEMNIFICATION <br />A. DISTRICT shall indemnify and hold harmless the POLICE, <br />its officers, employees, and agents from any and all <br />liabilities, claims, debts, actions, liens, judgments, demands, <br />damages, losses, cost of expenses of any kind arising from <br />death, personal injury, property damage, or other cause <br />based or connected with the performance of this Agreement. <br />Nothing contained in this Agreement shall limit any and all <br />rights which POLICE, its officers, employees, and agents <br />possess pursuant to California Civil Code Section 2778. <br />B. POLICE shall indemnify and hold harmless the DISTRICT, <br />its officers, employees, and agents from any and all <br />liabilities, claims, debts, actions, liens, judgments, demands, <br />damages, losses, cost of expenses of any kind arising from <br />death, personal injury, property damage, or other cause <br />based or connected with the performance of this Agreement. <br />Nothing contained in this Agreement shall limit any and all <br />rights which DISTRICT, its officers, employees, and agents <br />possess pursuant to California Civil Code Section 2778. <br />5. ASSIGNMENT <br />Neither this Agreement nor any duties or obligations under this Agreement <br />may be assigned by either party without prior written consent of the other. <br />6. ENTIRE AGREEMENT <br />This Agreement supercedes any and all Agreements, either written or oral, <br />between the parties, and contains all of the covenants and agreements <br />between the parties with respect to the subject matter hereof. Each party <br />acknowledges that no other agreement, understanding or promise, oral or <br />otherwise, relative to this subject matter exists between the parties at the <br />time of the execution of this Agreement. Any modifications of this <br />Agreement shall be effective only if it is in writing and signed by both <br />parties. <br />2 <br />
