PARTIES AND DATE <br />This First Amendment to the Professional Services Agreement ("First Amendment") dated as <br />of the 3RDday of May 2005 is entered into by and between the City of Colton ("City") and <br />Engineering Resources of Southern California, Inc. ("Consultant") <br />ARTICLE 2. RECITALS <br />2.1 City and Consultant entered into that certain Professional Services Agreement dated <br />29th September 2004 ("Agreement"), whereby Consultant agreed to provide Professional Design and <br />Consulting services ("Services") necessary for Agua Mansa Road Widening and Street <br />Improvement Project ("Project"). <br />2.2 City and Consultant now desire to amend the Agreement to revise the scope of work <br />by adding the Engineering Design (plan, specifications and estimate) services for Agua Mansa <br />Road from Rialto Channel to County Limit, as set forth in the attached Exhibit "A-1" and to <br />increase the amount of compensation. <br />ARTICLE 3. TERMS <br />3.1 Section 3. 1.1 (General Scope of Services) is hereby deleted in its entirety and replaced <br />with a new Section 3. 1.1 to read as follows: <br />"3.1.1 General Scope of Services. Consultant promises and agrees to furnish to the City all <br />labor, materials, tools, equipment, services, and incidental and customary work necessary to fully and <br />adequately supply the Professional Design and Consulting services necessary for the Project <br />("Services"). The Services are more particularly described in Exhibit "A" and Exhibit "A-1" <br />attached hereto and incorporated herein by reference.
