FJ <br />AGREEMENT FOR PROFESSIONAL SERVICES <br />This Agreement is made and entered into on October 22, 2004: <br />S.T.E.P. California <br />Hereinafter referred to as the "Contractor", and <br />(Name of School contracting with) Crestmore Elementary School <br />WHEREAS the District is authorized by Government Code Section to contract with an <br />independent contractor specifically trained to perform special services required; and WHEREAS <br />the Contractor is specially trained and experienced and competent to perform the special services <br />pursuant to this agreement; therefore, the parties hereto agree as follows: <br />1. PERIOD OF AGREEMENT shall be on October 25, 2004 & October 27, 2004. <br />2. DUTIES OF THE CONTRACTOR shall be to provide professional development to <br />• systematically help teachers improve their culture and review of data in accordance with <br />o <br />• item number 3 below. The performance of these duties shall be at times and places <br />mutually determined by the Contractor. <br />3. SCOPE OF SERVICES shall be itemized specifically as outlined below: Provide <br />• professional development to the school faculty to facilitate the implementation of the <br />Colton Joint Unified District's Vision of facilitating data management & the effective use <br />• in the classroom. <br />4. HOLD HARMLESS contractor shall defend, indemnify and hold School/District harmless <br />from and against any and all liability, loss, expense, attorneys' fees, or claims for injury or <br />damages arising out of the performance of this Agreement but only in proportion to and to <br />the extent such liability, loss, expense, attorneys' fees, or claims for injury or damages are <br />caused by or result from the negligent or intentional acts or omissions of Contractor, its <br />officers, agents, or employees. <br />School/District shall defend, indemnify and hold Contractor harmless from and against <br />any and all liability, loss expense, attorneys' fees, or claims for injury or damages arising <br />out of the performance of the Agreement but only in proportion to and to the extent such <br />liability, loss, expense, attorneys' fees, or claims for injury or damages are caused by or <br />result form the negligent or intentional acts or omissions of District, its officers, agent, or <br />employee. <br />5. CONTRACTOR NOT AN OFFICER, EMPLOYEE OR AGENT OF THE <br />SCHOOL/DISTRICT while engaged in performance of this contract, the Contractor is an <br />independent contractor and is not an officer, agent, or employees of the School/District. <br />
