FJ AGREEMENT FOR PROFESSIONAL SERVICES This Agreement is made and entered into on October 22, 2004: S.T.E.P. California Hereinafter referred to as the "Contractor", and (Name of School contracting with) Crestmore Elementary School WHEREAS the District is authorized by Government Code Section to contract with an independent contractor specifically trained to perform special services required; and WHEREAS the Contractor is specially trained and experienced and competent to perform the special services pursuant to this agreement; therefore, the parties hereto agree as follows: 1. PERIOD OF AGREEMENT shall be on October 25, 2004 & October 27, 2004. 2. DUTIES OF THE CONTRACTOR shall be to provide professional development to • systematically help teachers improve their culture and review of data in accordance with o • item number 3 below. The performance of these duties shall be at times and places mutually determined by the Contractor. 3. SCOPE OF SERVICES shall be itemized specifically as outlined below: Provide • professional development to the school faculty to facilitate the implementation of the Colton Joint Unified District's Vision of facilitating data management & the effective use • in the classroom. 4. HOLD HARMLESS contractor shall defend, indemnify and hold School/District harmless from and against any and all liability, loss, expense, attorneys' fees, or claims for injury or damages arising out of the performance of this Agreement but only in proportion to and to the extent such liability, loss, expense, attorneys' fees, or claims for injury or damages are caused by or result from the negligent or intentional acts or omissions of Contractor, its officers, agents, or employees. School/District shall defend, indemnify and hold Contractor harmless from and against any and all liability, loss expense, attorneys' fees, or claims for injury or damages arising out of the performance of the Agreement but only in proportion to and to the extent such liability, loss, expense, attorneys' fees, or claims for injury or damages are caused by or result form the negligent or intentional acts or omissions of District, its officers, agent, or employee. 5. CONTRACTOR NOT AN OFFICER, EMPLOYEE OR AGENT OF THE SCHOOL/DISTRICT while engaged in performance of this contract, the Contractor is an independent contractor and is not an officer, agent, or employees of the School/District.
