1 2 3 4 5, 6 7 8 9 10 11 12 13 14 15 16 17 18 19 20 21 22 23 24 25 26 27 28 EXHIBIT "A" SECOND AMENDMENT TO JOINT EXERCISE OF POWERS AGREEMENT COLTON PUBLIC FINANCING AUTHORITY This Second Amendment to Joint Exercise of Powers Agreement Colton Public Financing Authority dated as of November 19th, 1996 (the "Second Amendment"), approved and entered into by and between the City of Colton (the "City") and the Redevelopment Agency for the City of Colton (the "Agency"), each organized and existing under the laws of the State of California; W I T N E S S E T H WHEREAS, the City and the Agency created the Colton Public Finance Authority by entering into the Joint Exercise of Powers Agreement Colton Public Finance Authority dated May 16, 1989 (the "Agreement") for the purpose of assisting in the financing or refinancing of public capital improvements to be owned by the City or the Agency; WHEREAS, the City and the Agency desire to amend the Agreement for the purpose of assisting in the financing or refinancing of public capital improvements to be owned by any public agency, including any community facilities district, created by either the City or the Agency; WHEREAS, all other conditions precedent necessary to amend the Agreement have been satisfied; NOW, THEREFORE, in consideration of the above premises and of the mutual promises herein and in the Agreement, the City and the Agency do hereby agree as follows: Section 1. Amendment to Section 1.01. Section 1.01 of the Agreement shall be modified by deleting the definition of "Associate Member" thereof and replacing it with the following: "Associate Member" means (i) any public agency, including any community facilities district, created by the City, the Agency, or both and (ii) a Public Agency which is a party to an Associate Membership Agreement entered into by the Authority and such Public Agency pursuant to Article VIII hereof. 11STSUPP.JPA 11/11/96
