17.6 Certificates of Insurance may be obtained from EcoGroup upon written' request <br />addressed to: <br />Ms. Ann M. Choice of Law, Jurisdiction and Venue. This Agreement 11 be governed by and <br />construed according to the laws of the State of Arizona, without re d to its conflicts of law or <br />choice of law rules. Any action to enforce or obtain any remedy respect to any provision of <br />this Agreement shall be brought in the Superior Court of Marico County, Arizona, and for this <br />purpose, each party expressly and irrevocably consents to the j sdiction and venue of said court. <br />19. Dispute Resolution and Proceeding;.;art' <br />s. controversy, claim or dispute arising <br />between the parties shall be resolved betwmanagement on a best effort basis. If <br />the controversy, claim, or dispute cannot br °n a contemporaneous basis, the disputing <br />party can take further action as it desires. T`ng party, as determined by the trier of fact, <br />shall. be entitled to and shall be awarded, n to any other relief granted, its proceeding <br />expenses. Proceeding expenses shall inchout limitation: attorney's fees, proceeding <br />costs, court costs, cost of investigation aner reasonable expenses of litigation, mediation, <br />arbitration, administrative, bankruptcy orlate proceedings. <br />20. Severability. If any of the Afovisions of this Agreement are held to be illegal, <br />unenforceable, or partially ille/ect <br />enforceable by a court of competent jurisdiction, such <br />provision shall be enforced to tthat it is legal and enforceable and all other provisions <br />of this Agreement shall be givenparately; provided, however, that the basic purposes of <br />this Agreement may be achieve the remaining valid provisions. <br />21. Confidentiality. Th ity agrees that it shall keep all of the terms and conditions of this <br />Agreement confidential, a at it shall not disclose any such terms of conditions to any person <br />or Entity without EcoG p's written authorization. In addition, EcoGroup agrees to keep <br />confidential all report nformation, and data given to, prepared or assembled by EcoGroup <br />pursuant to EcoGrou performance hereunder which City designates as Confidential in writing. <br />Such information s not be made available by EcoGroup to any person, firm, corporation, or <br />entity without prior written consent of the City. Upon completion of the services, all <br />information giv to EcoGroup by the City officers, agents, employees, customers, or generated <br />by EcoGroup reunder, including, but not limited to customer names, shall immediately be <br />returned to City. <br />22.
