pertaining to the Conservation Bank Agreement, any conservation easements arising out of the Conservation Bank Agreement, and the HEMP, including any modifications. 1. 1.2 Assignor will assign to Assignee all indebtedness and obligations arising under the Conservation Bank Agreement, any conservation easements arising out of the Conservation Bank Agreement, or the HEMP, and any modifications, additions, extensions or renewals of the such documents. 1. 1.3 To pay, prior to delinquency, all property taxes, assessments and other governmental or public charges .affecting the Property or any part thereof. Notwithstanding the above, the Assignor may contest in good faith any such taxes, liens, assessments and other charges. 1.2 The Assignee agrees: - 1.2.1 That Assignee has sufficient financial capacity to carry out any unfunded obligations under the Conservation Bank Agreement, any conservation easements arising out of the Conservation Bank Agreement, and the HEMP. 1.2.2. That Assignee shall at all times maintain adequate insurance. 1.2.3 That the Assignee, its successors and assigns, will complete the performance of the Conservation Bank Agreement, compliance with any conservation easements arising out of the Conservation Bank Agreement, and the HEMP in accordance with their terms. 1.2.4 That Assignee shall- furnish to the USFWS'the bonds specified in the Conservation Bank Agreement. 1.2.5 That except for as specified in Section 1.1 above, the Assignee, in consideration of the approval by the USFWS of this Management Agreement, hereby accepts the rights, and assumes all uncomplete&obligations and requirements, of the Assignor under the Conservation Bank Agreement. These uncompleted obligations, and requirements include, but are not limited to, the obligation to fund the Endowment Fund as provided in the Conservation Bank Agreement. The Assignee hereby binds its successors and assigns in the same manner as if the Assignee were .the original signer of the Conservation Bank Agreement. 1.2.6 That Assignee will pay, when due, all charges -for utilities or services, - including without limitation electricity, gas, water and sewer, arising out of implementation of the Conservation Bank Agreement. 2. CONSIDERATION 2.1 In consideration of assignment of Assignor's rights, duties, and obligations set forth in the Conservation Bank Agreement the parties to this Management Agreement agree to the following payment
