3. APPROVAL BY USFWS <br />3.1 The signature of USFWS on this Management Agreement signifies its <br />approval of this assignment of Conservation Bank management obligations to Assignee as the <br />Management Entity. <br />3.2 As part of this Management Agreement the USFWS releases the Assignor <br />from any further responsibility under the Conservation Bank Agreement. <br />4. SEVERABILITY <br />If al1 or any part of any provision hereof shall be invalid, illegal or unenforceable in any <br />jurisdiction, the remaining provisions shall continue to be valid and enforceable, and such <br />provision shall continue to be valid and enforceable in any other jurisdictions. <br />5. TERMINATION <br />Any termination, amendment, supplement, waiver or modification of any term hereof shall be in <br />writing, executed by Assignor and Assignee. <br />b. HEADINGS <br />The headings of the Sections and subsections hereof are for convenience and shall not affect the <br />meaning of this Management Agreement. <br />7. GOVERNINGLAW <br />This Management Agreement shall be construed. in accordance with the laws of the State of <br />California. <br />
