' <br />DEPARTMENTOF CONSERVATION DIVISION <br />OF RECYCLING <br />CITY OF COL.L, <br />CONTRACT NUMBER: 50 <br />-88 -LC -09 <br />9. <br />AUDITS:' The Contractor agrees that the <br />Department, the State <br />Controller's Office and the State Auditor General's Office or <br />their designated representatives shall <br />have an absoluteright <br />of access to all of the Contractor'' <br />records pertaining to <br />the Agreement to conduct reviews and/or <br />audits. Contractor's <br />records pertaining to this Agreement, <br />or, any part thereof <br />requested, shall be made avail able <br />to the designated <br />auditor(s) upon request for the indicated review and/or <br />audits. Such records.shall be retained for at least three <br />years after expiration of this Agreement; <br />or until completion <br />of the action and resolution of all <br />slues which may arise as <br />a result of any litigation, claim <br />negotiation or audit, <br />whichever is later. <br />Contract records including financial <br />records, performance` <br />reports, and requests for payments shall <br />be retained for a <br />period of three years, unless otherwise <br />specified in the <br />contract Agreement. <br />10. <br />STOP WORK NOTICE: Immediately upon <br />receiving a written <br />notice to stop work, the Contractor <br />shall cease all work <br />under this Agreement. <br />11: <br />DISCRETIONARY TERMINATION_ S <br />The State shall <br />have 'the right to terminate this <br />Agreement at its sole <br />discretion. at any time upon thirty <br />30) days written notice <br />to the Contractor. In the case of,e <br />rly termination, a final <br />payment will` be made to the Contractor <br />upon receipt of a <br />financial report and invoices covering <br />costs incurred to <br />termination, and a written report <br />describing all work <br />performed by the Contractor to date of <br />termination. <br />12. <br />DISPUTES: The Contractor is hereby <br />advised of its duties, <br />obligations and rights under Public <br />Contract Code Sections <br />10355 through 10412. In tree event <br />of a dispute, the <br />Contractor may, in addition to any other <br />remedies which may <br />be available, provide written notice <br />of the particulars of <br />such dispute to Randall M. Ward, Iirector, <br />Department of <br />Conservation, 1416 Ninth Street,, Sacramento, <br />CA. 95814. <br />Such written notice must contain the <br />contract number. Within <br />ten days of receipt of such notice, the <br />Director shalladvise <br />the Contractor of his findings and <br />a recommended' means of <br />resolving the dispute. <br />13, <br />PUBLICITY AND ACKNOWLEDGMENT: The Contractor <br />agrees that it <br />will acknowledge the California Department <br />of Conservation <br />and the Divi=sion of Recycling support <br />whenever projects <br />funded in whole or in part, by this <br />Agreement are publicized <br />in any news; media, brochures, articles, <br />seminars or other <br />type of promotional material. <br />
