La Cadena Dr. <br />Colton, CA 92324 <br />Dear John: <br />Subject: Contract Amendment No. 1 <br />OMI is pleased to submit the proposed Amendment No. 1 to our Agreement for <br />wastewater facility operations, maintenance, and management services. Essentially, <br />this Amendment adjusts our management fee and modifies some language to reflect <br />current conditions. <br />A synopsis of our proposal is presented below. <br />Article 2.13 simply corrects a typographical error. The word "valve" was <br />incorrectly typed as "value". <br />Article 4.1.b identifies our agreed upon FY 1990-91 fee which is Eight <br />Hundred Twenty -Three Thousand Three Hundred Sixty -Two Dollars <br />($823,362). This fee reflects the annualized cost of the newly constructed <br />oxidation ditch and an adjustment for the CPI per Article 4.2. <br />Article 4.3 and Appendix A.8 are modified to reflect the increased electrical <br />usage caused by startup of the new 1 mgd facilities. <br />Appendix D adds serial numbers to the capital equipment provided by OMI. <br />OPERATIONS MANAGEMENT INTERNATIONAL, INC. 20015 N.E.
